SB Energy Files for Nasdaq IPO as AI Data Center Demand Drives Growth

SB Energy filed a Form S-1 with the U.S. Securities and Exchange Commission on Sept. 1 for a proposed U.S. initial public offering. The filing did not set out the number of shares or proposed price range, and it supplied no timetable for when trading might begin.

The proposed listing remains subject to the registration process. SB Energy expects its Class A common stock to trade under the symbol SBE on the Nasdaq Global Select Market and Nasdaq Texas, according to Investing.com.

SB Energy’s proposed Nasdaq listing

The proposed IPO has entered the registration process with SB Energy’s filing of a Form S-1 with the SEC.

There is no timetable in the filing for when shares may begin trading, and the eventual offering terms remain unsettled. The proposed Nasdaq listing would nonetheless put the company’s expansion plans before public-equity investors.

8.8 GW of data-center capacity in Texas and Ohio

SB Energy has 8.8 gigawatts of data-centre capacity contracted or under construction across Texas and Ohio, Bloomberg Law reported. That footprint is alongside 5.5 GW of power projects that are contracted, under construction or already operating.

The combination gives the IPO a direct link to the buildout of infrastructure needed to support data centres, including those associated with AI-driven computing demand. The reported figures distinguish between data-centre capacity and the company’s separate power-project portfolio.

Revenue growth alongside a $3.2 billion first-half loss

SB Energy reported revenue of $139 million for the first half of 2026, up from $83 million in the same period of 2025. But its net loss widened to $3.2 billion from $216 million a year earlier, according to Investing.com.

Those results put a sharp financial contrast at the centre of the proposed offering: revenue increased as SB Energy expanded its capacity base, while the reported first-half loss rose substantially from the prior-year period. The S-1 does not yet specify the number of shares or price range for the proposed IPO.
