ACV Auctions Stock Surges 44% After Copart Agrees $1.9B Takeover

ACV Auctions shares rose 43.78% to $10.38 in after-hours trading on September 11 after Copart announced a definitive agreement to acquire the company for cash. Copart confirmed on September 10 that it would offer $10.50 per share, placing ACV’s implied equity value at approximately $1.9 billion.

Cash offer values ACV at $1.9 billion

Under the announced agreement, Copart will acquire ACV Auctions for $10.50 per share in cash, implying an equity valuation of approximately $1.9 billion. According to insigtX, ACV Auctions shares traded at $10.38 in after-hours trading following the announcement.

Shares rise as bid sets premium

ACV’s 43.78% after-hours advance followed news of the agreement, according to insigtX. The move brought the shares within $0.12 of Copart’s $10.50 cash offer.

Copart said the offer represents a premium of about 45% to ACV’s unaffected closing price on August 10, 2026. It also represents a roughly 41% premium to the company’s 30-day volume-weighted average share price through September 9.

Closing targeted by year-end 2026

Copart plans to fund the transaction using cash on hand. The companies expect the deal to close by the end of calendar year 2026, subject to tender, regulatory and customary conditions.
